These terms and conditions (“Terms”) govern your use of the website at elbah.group (the “Site”) and any engagement of services with Elbah Group Limited (“Elbah Group”, “we”, “us”, “our”). By using the Site or engaging our services, you agree to these Terms.

1. Who we are

Our Sentinel product is operated separately at senti.solutions and is governed by its own terms and conditions, not these Terms.

2. Use of this website

  • The Site and its content are provided for general information about our services and to allow prospective clients to make enquiries.
  • You must not misuse the Site, including introducing malicious code, attempting unauthorised access, or scraping content without permission.
  • We may update, suspend, or withdraw the Site, or any part of it, at any time without notice.

3. Services

Where we agree to provide custom SaaS development, hosting, website/web application development, or workflow solutions (“Services”), the specific scope, deliverables, fees, and timelines will be set out in a separate proposal, statement of work, or signed agreement (“Engagement Terms”). Where there is any conflict between these Terms and Engagement Terms for a specific project, the Engagement Terms take precedence in relation to that project.

4. Fees and payment

  • Fees for Services are as set out in the applicable Engagement Terms.
  • Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.
  • We reserve the right to suspend work or access to delivered platforms for accounts with overdue payments, subject to reasonable prior notice.

5. Intellectual property

  • Unless otherwise agreed in Engagement Terms, on full payment of all applicable fees, ownership of bespoke deliverables created specifically for a client transfers to that client.
  • We retain ownership of all pre-existing tools, frameworks, methodologies, and reusable components used in delivering Services, and may reuse them across other projects.
  • All content, branding, and materials on the Site remain the property of Elbah Group Limited or its licensors.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with a Service engagement, and to use it only for the purposes of that engagement.

7. Warranties and liability

  • We will provide Services with reasonable skill and care.
  • The Site and its general content are provided “as is” without warranties of any kind, to the fullest extent permitted by law.
  • Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under English law.
  • Subject to the above, our total liability arising from use of the Site or provision of Services not covered by specific Engagement Terms is limited to the fees paid to us in the 12 months preceding the claim.
  • We are not liable for indirect or consequential loss, including loss of profits, revenue, or data.

8. Third-party services

Where Services rely on third-party infrastructure, software, or hosting providers, we are not liable for outages, defects, or changes caused by those third parties, though we will act reasonably to mitigate impact on clients.

9. Termination

Either party may terminate an Engagement in accordance with the terms set out in the applicable Engagement Terms. These Terms remain in effect for use of the Site regardless of any specific engagement’s status.

10. Changes to these Terms

We may update these Terms from time to time. The “last updated” date at the top reflects the most recent revision. Continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
